Terms and Conditions of the SOLIMED.PL Online Store

I. General Provisions and Business-to-Business (B2B) Nature of Sales

  1. The online store operating at www.solimed.pl enables making purchases via the Internet.

  2. The store is operated by the company: SOLIMED Mateusz Winnik, ul. Gałowska 2, 55-330 Lutynia, Poland, NIP (Tax ID): 894-272-11-23, Regon: 021213202.

  4. Professional Nature of Operations: Due to the specific nature of the medical industry, the Store's offer is directed strictly to professionals – entities practicing medical professions (including dentists, orthodontists, surgeons), dental technicians, healthcare providers, and other entrepreneurs conducting business activity related to the healthcare sector. The Store does not conduct retail sales to consumers within the meaning of Art. 22¹ of the Polish Civil Code.

  5. Limitation of Consumer Rights for Sole Proprietorships (JDG): The Store acknowledges legal regulations granting consumer status to natural persons operating a sole proprietorship (JDG) when making purchases unrelated to their professional sector. Due to the medical and highly specialized assortment of the Store (medical devices, dental materials, surgical tools), these purchases constitute a strictly professional purchase for doctors and medical entities. Consequently, pursuant to Art. 38a of the Polish Act on Consumer Rights and Art. 556⁵ of the Polish Civil Code, Buyers operating a sole proprietorship (JDG) in the medical/dental sector are not entitled to statutory consumer rights (including the right to a 14-day return without cause and protection against the exclusion of implied warranty/statutory warranty) regarding goods used for running a medical practice.

  6. By placing an order, each Buyer declares that they are performing an action directly related to their professional or business activity, and that the purchased medical or dental products and tools will be used exclusively for professional purposes.

II. Order Placement and Fulfillment Procedure

  1. Orders can be placed via:

    • a) the website www.solimed.pl (requires creating a free business client account),

    • b) telephone contact,

    • c) email.

  2. A prerequisite for order fulfillment is providing correct company contact details and a valid VAT/Tax ID number. The Seller documents every sale with a VAT invoice or, upon explicit request of the customer, with a receipt, provided that such sale retains its professional (B2B) nature in every case.

  3. Online and email orders are accepted 24/7. Orders placed after 1:00 PM on business days, as well as on weekends and public holidays, are processed on the next business day.

  4. Commercial information provided on the Store's website does not constitute an offer within the meaning of the Polish Civil Code, but rather an invitation to conclude a contract.

  5. Prices listed on the website are expressed in PLN, include VAT (gross prices), and do not include delivery costs.

III. Payment and Delivery Methods

  1. The Buyer may choose from the following delivery methods for the ordered goods:

    • a) Parcel locker delivery via InPost (domestic within Poland),

    • b) International courier delivery via DHL (exclusively for international/foreign orders),

    • c) Personal pickup at the commercial point: ul. Frydeckiego 2a, 54-115 Wrocław, Poland (subject to prior arrangement of the date and time).

  2. The Store provides the following payment methods for orders:

    • a) Electronic payment and payment by credit/debit card via the Przelewy24 service,

    • b) Traditional bank transfer to the Seller's bank account,

    • c) Cash on delivery (COD) upon receipt of the shipment,

    • d) Cash or card payment upon personal pickup.

  3. Delivery costs are automatically calculated and displayed to the Buyer in the cart summary prior to finalizing the order.

IV. Quality Guarantee, Liability, and Complaints

  1. The Seller undertakes to deliver goods free from defects and in accordance with the order. All products are brand new, originally packed, and stored under strict warehouse conditions compliant with the guidelines for medical devices.

  2. Exclusion of Statutory Warranty (Rękojmia): Pursuant to Art. 558 § 1 of the Polish Civil Code, the Seller entirely excludes liability under the statutory warranty for physical and legal defects against all Buyers who are entrepreneurs. This exclusion also applies to natural persons running a sole proprietorship (JDG), provided that the purchase made by them is of a professional nature and is directly related to their medical or dental sector.

  3. The above exclusion does not affect the Buyer's rights resulting from the manufacturer's warranty, provided that a given product is covered by such a warranty. The Seller acts as an intermediary in the warranty procedure between the Buyer and the manufacturer.

  4. Complaints regarding mechanical damage caused during transport or manufacturing defects must be submitted immediately upon detection to the address: sklep@solimed.pl or in writing to the correspondence address.

  5. The Seller will review the complaint within 14 calendar days from the date of its submission.

  6. Any costs of delivering the complained goods to the Seller or directly to the manufacturer's authorized service center shall be borne entirely by the Buyer.

V. Product Safety Policy and Conditional B2B Returns

  1. Statutory Exclusion of Returns due to Health and Hygiene Reasons (Art. 38 item 5): The Seller informs that pursuant to Art. 38 item 5 of the Polish Act on Consumer Rights, the right to withdraw from a distance contract does not apply to contracts where the subject of the service is an item delivered in a sealed package which cannot be returned after opening due to health protection or hygiene reasons, if the package was opened after delivery. This provision applies unconditionally to medical devices and sterile dental materials (e.g., cements, composites, needles, burs, preparations).

  2. Exclusion of Statutory Return for Professional Purchases: Regarding products that do not fall under the above hygiene exclusion, the right to a 14-day consumer return is also excluded for all purchases of a professional nature. This directly applies to doctors and medical entities running a sole proprietorship (JDG) – pursuant to Art. 38a of the Polish Act on Consumer Rights, purchases of medical tools and materials for a medical practice are not covered by consumer protection.

  3. Acknowledging the fast-paced nature of work in medical practices, the Seller introduces a voluntary and conditional internal return procedure for Business Partners (B2B) within 14 days from the date of receiving the shipment.

  4. The Store does not sell outlet or second-hand products. Every product returning to the warehouse must be suitable for resale as a 100% sterile and safe item for the next medical facility.

  5. A prerequisite for the review and acceptance of a voluntary B2B return is meeting all of the following requirements collectively:

    • a) The product must be in an intact, complete condition and in its original packaging.

    • b) Inviolability of Medical Seals: Any factory, sterile, or hermetic packaging and protective films of the products must not be opened, torn, or damaged in any way.

    • c) Tools must not bear any traces of attempted use, cleaning, or sterilization.

  6. Verification Procedure: The intention to make a return must be reported via the dedicated button in the customer account, which redirects to the B2B Return Verification Form. The product may only be sent back after initial approval of the request by the Store's staff.

  7. In the event of failure to meet the sterility and safety criteria (e.g., returning an opened package), the Seller will refuse to accept the return, and the product will be sent back to the Buyer at their expense.

  8. Direct logistics costs related to sending a safe return back to the Store shall be borne entirely by the Buyer.

VI. Personal Data Protection and Cookies Policy

  1. The rules for processing personal data and using cookies are specified in the Privacy Policy available on the store's website.

  2. The Store uses cookies to ensure the correct, stable, and secure operation of the website. The User can manage and disable them in their web browser settings.

VII. Final Provisions and Copyrights

  1. Any disputes arising from the execution of contracts concluded on the basis of these Terms and Conditions shall be resolved by the common court having material and territorial jurisdiction over the registered seat of SOLIMED.

  2. All materials, descriptions, and photos published on the website www.solimed.pl are the exclusive property of SOLIMED or its official trade partners. Their copying, reproduction, or use without explicit, written consent is strictly prohibited and constitutes a copyright infringement.
